Terms of sale

1. Purpose
These Terms of Sale govern the sale of products by HISOKA SAS (operating under the trading name Zyleo) to consumers acting as private individuals on the website zyleo.co.uk. They set out the conditions of order, payment, delivery, returns and warranties. These Terms apply to the exclusion of any other terms or conditions.

3. Acceptance of these Terms
By placing an order on zyleo.co.uk, the customer acknowledges that they have read and accept these Terms of Sale without reservation. The validation of the order constitutes full acceptance of these Terms. We reserve the right to modify these Terms at any time, with new versions applying only to future orders.
4. Products
The products offered are those listed on zyleo.co.uk on the day of consultation, within available stock. We reserve the right to modify the product assortment at any time. Product descriptions include essential characteristics in accordance with article L221-5 of the French Consumer Code and section 11 of the UK Consumer Rights Act 2015.
In the event of stock unavailability after order placement, we will inform the customer as soon as possible and process a full refund within 14 days.
5. Prices
All prices are displayed in pounds sterling (GBP £) and are final prices. HISOKA SAS benefits from the French VAT exemption scheme (franchise en base de TVA, article 293 B French General Tax Code), so no VAT is charged on our sales. No customs duty, import VAT or carrier handling fee is payable on delivery within the United Kingdom.
Delivery is free of charge across the United Kingdom with no minimum spend. The prices applicable are those displayed at the time of order validation.
6. Order placement
The ordering process is as follows: product selection, basket review, customer identification, choice of delivery and payment method, acceptance of these Terms and final validation. The order is confirmed once payment has been accepted by the payment processor.
We reserve the right to refuse or cancel any order from a customer with whom we have an ongoing dispute regarding payment of a previous order, in accordance with article 1641 of the French Civil Code.
7. Payment methods
We accept the following payment methods at checkout:

All payments are processed securely by Shopify Payments, a PCI-DSS Level 1 compliant payment service provider. HISOKA SAS does not store or have access to any card details.
8. Delivery
Delivery conditions are detailed in our Shipping Policy:
- Free UK delivery on every order, no minimum spend
- Delivery to mainland UK, Scottish Highlands, Northern Ireland, Channel Islands and Isle of Man
- Carriers: UPS or UPS
- Dispatch: orders placed before 2:00 pm GMT on a business day enter processing the same business day
- Delivery window: 3 to 5 working days (Mainland UK) / 4 to 7 working days (Highlands, NI, Channel Islands, Isle of Man)
- Tracking number sent by email upon dispatch
In accordance with article L216-1 of the French Consumer Code and Part 1 Chapter 2 of the UK Consumer Rights Act 2015, we undertake to deliver the product within the timeframe indicated and within a maximum of 30 days from the conclusion of the contract.
9. Transfer of ownership and risk
Ownership of the products is transferred to the customer upon full payment of the price. In accordance with article L216-4 of the French Consumer Code, the risk of loss or damage to the products is transferred to the customer upon physical receipt of the goods.
10. Right of withdrawal (30 days)
Statutory cooling-off period: Under the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 and article L221-18 of the French Consumer Code, the customer has a statutory right to cancel the contract within 14 days of receiving the goods, without giving any reason.
Commercial extension to 30 days: Zyleo voluntarily extends this cooling-off period to 30 days from receipt of the goods, as a gesture of goodwill.
How to exercise the right of withdrawal: The customer must inform us of their decision before the expiry of the deadline, by email to contact@zyleo.co.uk, with the order number and the reason for return. Our team will confirm eligibility and issue a prepaid UPS return label by email.
Return of the goods: The customer must return the goods within 14 days following notification of their decision. Returns must be unused, in their original packaging, and complete with all accessories.
Returns are free of charge: we cover the cost of return shipping via the prepaid label we provide. No restocking fee is applied.
Refund: Once we receive your return, we will process the refund within 14 days, including the standard delivery costs, using the original payment method used at checkout. We may withhold the refund until we have received the goods or proof of return.

11. Statutory guarantee of conformity
All products sold benefit from the legal guarantees applicable in the United Kingdom and France:
- UK Consumer Rights Act 2015: goods must be of satisfactory quality, fit for purpose and as described. The customer has the right to a remedy (repair, replacement, refund) if the goods do not conform.
- French Consumer Code (articles L217-3 to L217-17): 2-year statutory guarantee of conformity from delivery.
12. Hidden defects warranty
In accordance with articles 1641 and following of the French Civil Code, the customer benefits from the warranty against hidden defects. Any action must be brought within 2 years from the discovery of the defect.
13. Manufacturer warranty (3 years)
Zyleo offers a 3-year manufacturer parts warranty on every product, covering manufacturing defects. Email support is available 6 days a week (Monday to Saturday) at contact@zyleo.co.uk for diagnosis. Faulty units are replaced once the fault has been confirmed by our technical team.

15. Consumer ADR and complaints
In the event of a dispute, the customer is encouraged to contact our customer service first at contact@zyleo.co.uk. If no amicable resolution is found, the customer may also use the following independent services:

16. Personal data
The processing of the customer's personal data is detailed in our Privacy Policy, in accordance with the UK General Data Protection Regulation (UK GDPR), the Data Protection Act 2018 and the EU General Data Protection Regulation (EU GDPR).
17. Governing law and jurisdiction
These Terms of Sale are governed by French law. Any dispute arising from these Terms shall be submitted to the exclusive jurisdiction of the competent courts of Paris, France.
Where the customer is a consumer resident in the United Kingdom, they continue to benefit from the mandatory protections granted by UK consumer law, including the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. Nothing in these Terms deprives the customer of those rights, and they may also bring proceedings before the competent courts of the part of the United Kingdom in which they are domiciled.
