1. Overview

Welcome to Zyleo. These Terms of Service (the "Terms") govern your access to and use of the website zyleo.co.uk (the "Site") and any purchase of products offered on the Site. The Site is operated by HISOKA SAS, a French simplified joint-stock company (société par actions simplifiée) with a share capital of 10,000 €, registered under SIRET number 989 850 680 00012, with its registered office located at 1 Rue Marguerin, 75014 Paris, France, and operating under APE code 47.91A. HISOKA SAS trades under the brand name "Zyleo".

HISOKA SAS benefits from the French VAT exemption scheme known as franchise en base de TVA under Article 293 B of the French General Tax Code (Code général des impôts). As a result, no French or UK VAT is charged on the prices displayed to customers, and HISOKA SAS does not hold a VAT identification number.

By accessing the Site, browsing our products or placing an order, you confirm that you have read, understood and accepted these Terms. If you do not agree with any part of these Terms, please do not use the Site or place an order. We recommend that you save or print a copy of these Terms for your records.

2. Eligibility and account

To purchase from Zyleo you must:

  • Be at least 18 years old and have the legal capacity to enter into a binding contract under the laws applicable to you.
  • Be a consumer acting outside the scope of a trade, business, craft or profession.
  • Reside in the United Kingdom and provide a valid UK delivery address. Zyleo currently sells and ships to the United Kingdom only.
  • Provide accurate, current and complete information when placing an order or creating an account.

You are responsible for maintaining the confidentiality of any account credentials and for all activity carried out under your account. Please contact us promptly if you believe your account has been used without your authorisation.

3. Products and pricing

Zyleo offers a curated selection of consumer products. We make every reasonable effort to display our products and their descriptions, photographs, colours and dimensions as accurately as possible. However, minor variations may occur, and product images are provided for illustrative purposes only.

All prices displayed on the Site are stated in pounds sterling (GBP) and include any applicable taxes payable by the customer. Because HISOKA SAS operates under the French VAT exemption scheme (franchise en base, Article 293 B of the French General Tax Code), no French VAT and no UK VAT is added to the price of the products shown on the Site. The displayed price is therefore the final price you pay for the products themselves, before any delivery charges.

Delivery charges, where applicable, are calculated at checkout and shown to you clearly before you confirm and pay for your order. We reserve the right to amend prices and to add, modify or remove products from the Site at any time, but any such changes will not affect orders that have already been accepted by us.

In the unlikely event of an obvious pricing error (for example, a price that is clearly disproportionate to the product's value), we reserve the right to cancel the affected order and provide a full refund, even after we have sent an order confirmation.

4. Orders and acceptance

When you place an order on the Site, you make an offer to purchase the selected products subject to these Terms. The order process involves selecting your items, providing your delivery and billing information, reviewing your order and submitting payment.

After you submit your order, you will receive an automated acknowledgement by email confirming that we have received your order. This acknowledgement does not constitute acceptance of your order.

A binding contract between you and HISOKA SAS is formed only when we send you a separate dispatch confirmation email indicating that your order has been processed and shipped. Until that point, we may decline or cancel an order for any legitimate reason, including stock unavailability, suspected fraud, payment refusal, pricing errors or an inability to deliver to the address provided.

5. Payment

Payments on the Site are processed by Shopify Payments, a regulated payment service that is certified as compliant with the Payment Card Industry Data Security Standard (PCI-DSS). HISOKA SAS does not store or have access to your full card details.

We accept the following payment methods through Shopify Payments:

  • Visa
  • Mastercard
  • American Express
  • Apple Pay
  • Shop Pay

You confirm that the payment method used belongs to you or that you are duly authorised to use it. Your order will only be processed once your payment has been successfully authorised. If your payment is declined or subsequently reversed, we may suspend or cancel your order.

6. Delivery

Zyleo delivers exclusively to addresses located in the United Kingdom. Standard delivery is performed by trusted carriers such as UPS and UPS, and orders are typically delivered within 3 to 5 working days from dispatch, subject to product availability and carrier service levels.

Delivery timeframes are estimates and not guaranteed dates. Risk of loss or damage to the products passes to you once the products have been delivered to the address you provided.

7. Right to cancel (UK 14-day cooling-off period)

As a UK consumer, you have a statutory right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 to cancel your order without giving any reason, within a period of 14 calendar days starting on the day after the day on which you (or a third party indicated by you, other than the carrier) take physical possession of the goods.

To exercise your right to cancel, you must inform us of your decision by a clear written statement sent to contact@zyleo.co.uk before the cancellation period has expired. You may use any clear declaration, including a simple email stating that you wish to cancel your order, with reference to your order number.

If you exercise your right to cancel, you must return the goods to us without undue delay and in any event no later than 14 days after the day on which you communicated your cancellation. You are responsible for the direct cost of returning the goods, unless we have agreed otherwise in writing.

We will reimburse all payments received from you, including the cost of standard delivery (excluding any supplementary costs arising from your choice of a more expensive delivery method), no later than 14 days after the day on which we receive the returned goods back, or, if earlier, the day on which you provide evidence that you have returned the goods. Refunds are issued using the same payment method that you used for the original transaction, unless expressly agreed otherwise.

8. Returns and refunds

In addition to your statutory right to cancel, we also offer a goodwill returns process for items that are faulty, damaged on arrival, or do not match their description. To be eligible for a return, items should generally be unused, in their original condition and, where reasonably possible, in their original packaging.

The detailed conditions, timeframes, return address and step-by-step process for returns and refunds are described in our Refund Policy, which forms an integral part of these Terms. Nothing in our Refund Policy or in these Terms restricts your statutory rights as a UK consumer.

9. Warranty

Zyleo provides a 3-year manufacturer warranty on its products, starting from the date of delivery. This warranty covers manufacturing defects and material faults that arise during normal, intended use of the product.

The warranty does not cover:

  • Damage caused by misuse, accident, neglect or failure to follow product instructions.
  • Normal wear and tear, including cosmetic damage such as scratches and minor marks.
  • Damage caused by unauthorised modification, repair or disassembly.
  • Damage resulting from exposure to extreme conditions outside the product's intended use.

This manufacturer warranty is offered in addition to, and does not affect, your statutory rights as a UK consumer under the Consumer Rights Act 2015, including the rights that goods must be of satisfactory quality, fit for purpose and as described.

10. Intellectual property

All content displayed on the Site, including but not limited to text, photographs, illustrations, graphics, logos, the "Zyleo" name and brand, product names, layouts and software, is the property of HISOKA SAS or its licensors, and is protected by applicable intellectual property laws.

You are granted a personal, non-exclusive, non-transferable and revocable licence to access and view the Site for private and non-commercial purposes. You may not reproduce, modify, distribute, publicly display, sell or otherwise exploit any part of the Site or its content without our prior written consent, except as expressly permitted by mandatory law.

11. Limitation of liability

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited under applicable law.

Subject to the foregoing, HISOKA SAS shall not be liable for any indirect or consequential loss, including loss of profits, loss of business, loss of opportunity or loss of data, arising out of or in connection with your use of the Site or the products. Our total aggregate liability arising under or in connection with a given order shall, to the maximum extent permitted by law, not exceed the total amount actually paid by you for that order.

Your statutory rights as a UK consumer are not affected by this clause.

12. Privacy and data protection

We are committed to protecting your personal data and processing it in accordance with the UK General Data Protection Regulation (UK GDPR), the Data Protection Act 2018 and, where applicable, the EU General Data Protection Regulation (EU GDPR). Detailed information on the categories of personal data we collect, the purposes of processing, retention periods, recipients and your rights is provided in our Privacy Policy.

You may exercise your data protection rights at any time, including the rights of access, rectification, erasure, restriction, portability and objection, by contacting us at contact@zyleo.co.uk.

13. Cookies

The Site uses cookies and similar technologies to ensure proper functioning, remember your preferences, measure audience and improve your shopping experience. Strictly necessary cookies are set automatically because they are required to deliver the service you request. Other cookies, such as analytics or marketing cookies, are only set with your consent through the cookie banner displayed on your first visit.

You can withdraw or change your cookie preferences at any time using the cookie settings available on the Site, or by configuring your browser to refuse or delete cookies. Disabling certain cookies may affect the availability or performance of some features.

14. Force majeure

HISOKA SAS shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay is caused by events beyond its reasonable control, including but not limited to natural disasters, fire, flood, epidemics or pandemics, war, acts of terrorism, civil unrest, strikes, governmental actions, failures of telecommunications networks, or significant disruptions affecting our suppliers or carriers.

If a force majeure event continues for an unreasonable period, either party may terminate the affected contract by written notice, in which case any sums paid for undelivered products will be refunded.

15. Severability and waiver

If any provision of these Terms is found by a competent court or authority to be invalid, unlawful or unenforceable, that provision shall be modified to the minimum extent necessary or, if not possible, severed, and the remaining provisions shall remain in full force and effect.

Our failure or delay to enforce any right or provision of these Terms shall not be construed as a waiver of that right or provision. Any waiver must be explicit and in writing to be effective.

16. Changes to these terms

We may update or modify these Terms from time to time to reflect changes in our business, our services, applicable laws or for any other legitimate reason. The version of the Terms applicable to your purchase is the one in force on the date your order is accepted.

Significant changes will be communicated through a notice on the Site. We encourage you to review the Terms periodically. Your continued use of the Site after any changes have been published constitutes acceptance of the revised Terms.

17. Governing law and jurisdiction

These Terms and any contract concluded under them are governed by French law. Any dispute arising out of or in connection with these Terms shall, subject to the paragraph below, be submitted to the exclusive jurisdiction of the competent courts of Paris, France.

Where you are a consumer resident in the United Kingdom, you continue to benefit from the mandatory protections granted to you by UK consumer law, including the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. Nothing in these Terms deprives you of those rights, and you may also bring proceedings before the competent courts of the part of the United Kingdom in which you are domiciled.

Before initiating legal proceedings, we encourage you to contact us first so that we can attempt to resolve the matter amicably.
